TERMS OF SERVICE

Effective Date: January 1, 2025

These Terms of Service ("Terms") govern your participation in the Vector AI Affiliate Program ("Program"). By enrolling in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in the Program.

AFFILIATE PROGRAM TERMS

The Vector AI Affiliate Program allows you to earn commissions by referring customers to Vector AI services. Participation in the Program is subject to these Terms and our Privacy Policy.

  • You must be at least 18 years old to participate
  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the security of your affiliate account
  • You may not create multiple accounts or use multiple identities
  • Vector AI reserves the right to reject or terminate any affiliate account at our discretion

COMMISSION STRUCTURE

Commissions are calculated as a percentage of referred customer revenue (MRR - Monthly Recurring Revenue). Your tier determines your commission rate:

Tier 1: 20% Commission

Requirements: 0-9 active referrals

Default tier for all new affiliates. Earn 20% commission on all referred customer monthly recurring revenue.

Tier 2: 30% Commission

Requirements: 10-24 active referrals

Unlock Tier 2 by referring 10 or more active customers. Earn 30% commission on all referred customer monthly recurring revenue.

Tier 3: 40% Commission

Requirements: 25+ active referrals

Unlock Tier 3 by referring 25 or more active customers. Earn 40% commission on all referred customer monthly recurring revenue.

Note: Tier upgrades are automatic based on your active referral count. Active referrals are customers who have an active subscription. Tier downgrades do not occur; once you reach a tier, you maintain it even if active referrals decrease.

PAYMENT TERMS

  • Payment Schedule: Commissions are calculated monthly and paid on the 1st of each month (or the next business day if the 1st falls on a weekend or holiday)
  • Minimum Payout: $50 USD. Commissions below this threshold will roll over to the next payment cycle
  • Payment Methods: PayPal or Bank Transfer (direct deposit)
  • Currency: All payments are made in USD
  • Commission Calculation: Based on referred customer's Monthly Recurring Revenue (MRR) multiplied by your tier commission rate
  • Payment Processing: Payments are processed through Stripe. Processing fees may apply for certain payment methods
  • Tax Reporting: For affiliates earning over $600/year, we will issue a 1099 form for tax reporting purposes

REFERRAL GUIDELINES

✓ Allowed Practices

  • Sharing your unique referral link on social media platforms
  • Including referral links in blog posts, articles, or content
  • Email marketing to your audience (with proper opt-in consent)
  • Word-of-mouth referrals and personal recommendations
  • Creating content that accurately describes Vector AI services
  • Using referral links in newsletters or email signatures

✗ Prohibited Practices

  • Spam: Sending unsolicited emails or messages
  • False Claims: Making misleading or false claims about Vector AI services
  • Self-Referrals: Creating fake accounts or referring yourself
  • Paid Advertising Violations: Using paid advertising that violates platform policies (Google Ads, Facebook Ads, etc.)
  • Fraudulent Activity: Any deceptive or fraudulent practices
  • Trademark Infringement: Using Vector AI trademarks without permission
  • Cookie Stuffing: Manipulating referral tracking through technical means

KYC (KNOW YOUR CUSTOMER) REQUIREMENTS

For compliance with IRS regulations and fraud prevention, affiliates earning over $600/year must complete KYC verification:

  • Identity Verification: Government-issued ID verification via Plaid integration
  • Tax Information: Tax identification number (EIN/SSN) for 1099 form generation
  • Address Verification: Proof of address for tax reporting
  • Payment Method Verification: Bank account or PayPal verification for direct deposit

Important: Payments will be held until KYC verification is completed for affiliates meeting the $600 threshold. This is required for IRS compliance and 1099 form generation.

REFERRAL TRACKING AND COOKIES

We use localStorage to track referral codes for attribution:

  • Referral codes are stored in browser localStorage for 30 days
  • This allows us to attribute signups to the correct affiliate even if the user returns later
  • Referral attribution window: 30 days from initial click
  • You can clear your browser's localStorage at any time, but this may affect referral tracking
  • We do not use third-party tracking cookies or advertising cookies

ACCOUNT TERMINATION

Vector AI reserves the right to terminate affiliate accounts immediately for:

  • Violation of these Terms of Service
  • Fraudulent or deceptive referral practices
  • Spam or abusive behavior
  • Misrepresentation of Vector AI services
  • Any activity that damages Vector AI's reputation or brand
  • Inactivity for 12+ months (accounts may be deactivated but can be reactivated upon request)
  • Failure to complete required KYC verification when requested

Termination Consequences: Upon termination, unpaid commissions earned through fraudulent means will be forfeited. Legitimate commissions earned before termination will be paid according to standard payment terms. All referral links will be deactivated immediately upon termination.

LIABILITY LIMITATIONS

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Vector AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Vector AI's total liability shall not exceed the total commissions paid to you in the 12 months preceding the claim
  • Vector AI does not guarantee any specific earnings or commission amounts
  • Vector AI is not responsible for referred customer cancellations, refunds, or chargebacks
  • Vector AI is not liable for technical issues, downtime, or service interruptions affecting referral tracking

DISPUTE RESOLUTION

In the event of any dispute arising from these Terms or the Affiliate Program:

  • Informal Resolution: Contact us at support@vectorai.digital to attempt informal resolution
  • Mediation: If informal resolution fails, disputes will be resolved through binding mediation
  • Arbitration: Any disputes not resolved through mediation will be settled through binding arbitration in Puerto Rico
  • Class Action Waiver: You waive any right to participate in class action lawsuits

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Puerto Rico, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Puerto Rico.

CHANGES TO TERMS

Vector AI reserves the right to modify these Terms at any time. We will notify you of material changes by email or through your affiliate dashboard. Continued participation in the Program after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may terminate your participation in the Program.
